These Terms and Conditions (“Terms”) govern your access to and use of the XtoSCORM platform, website, applications, APIs, and related services (collectively, the “Service”) operated by XtoSCORM (“XtoSCORM”, “we”, “us”, or “our”).
By accessing or using the Service, you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not use the Service.
1. The Service
XtoSCORM provides online tools and services that enable users to convert educational, training, and multimedia content into SCORM-compatible learning packages and related LMS-ready formats. The Service may support content such as PDFs, PowerPoint presentations, videos, HTML content, and other educational assets.
The Service may include automated processing systems, AI-assisted features, file hosting functionality, preview tools, export systems, APIs, integrations, subscriptions, and credit-based usage models. Features may change over time and we reserve the right to modify, suspend, restrict, or discontinue any portion of the Service at any time without prior notice.
2. Eligibility and Authority
You must be at least eighteen (18) years old and legally capable of entering into binding agreements to use the Service. If you use the Service on behalf of a company, institution, or other legal entity, you represent and warrant that you are authorized to bind that entity to these Terms.
3. Accounts and Access
Certain features of the Service require registration of an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account.
You agree to provide accurate and complete information during registration and to keep such information current. We reserve the right to suspend or terminate accounts containing false, misleading, incomplete, or fraudulent information.
You are responsible for ensuring that your account access, passwords, devices, and credentials remain secure. We are not liable for unauthorized access resulting from your failure to maintain account security.
4. Credit-Based Billing and Payments
The Service may operate using a prepaid or usage-based credit system. Credits may be purchased directly through the platform, included within subscription plans, issued as promotional balances, or otherwise granted by XtoSCORM.
Credits are non-transferable, non-refundable, and have no cash value unless otherwise required by applicable law. Credits cannot be redeemed for money, transferred between accounts, or exchanged for other products or services outside the Service.
Credits may be consumed when a conversion request is submitted, when processing resources are allocated, or when conversion operations begin. In certain cases, credits may be deducted even if a conversion fails partially or completely due to unsupported file structures, corrupted uploads, third-party processing failures, formatting limitations, system interruptions, or other technical reasons.
All purchases are final unless explicitly stated otherwise. We reserve the right to change pricing, conversion costs, subscription structures, usage limits, file limits, or billing methods at any time.
Failure to complete payment obligations may result in suspension, restriction, or termination of access to the Service.
5. User Content and Ownership
You retain ownership of all files, content, documents, presentations, videos, media, and other materials uploaded to the Service (“Uploaded Content”).
By uploading content, you grant XtoSCORM a limited, non-exclusive, worldwide, royalty-free license to host, process, store, transmit, analyze, convert, and otherwise use the Uploaded Content solely for the purpose of operating and improving the Service, troubleshooting issues, preventing abuse, and fulfilling conversion requests.
You represent and warrant that you possess all necessary rights, permissions, licenses, and authorizations required to upload and process the Uploaded Content through the Service.
We do not claim ownership of your Uploaded Content or generated outputs.
6. Generated Output and Conversion Results
The Service generates SCORM packages and related outputs based on user-provided content. Conversion results may vary depending on file structure, source formatting, embedded assets, browser compatibility, LMS behavior, third-party dependencies, and other technical factors.
While we attempt to provide commercially reasonable conversion quality, we do not guarantee that generated outputs will be error-free, fully accurate, visually identical to source files, compatible with every LMS platform, or suitable for any specific educational, regulatory, accessibility, or commercial purpose.
You are solely responsible for reviewing, testing, validating, and approving generated outputs before deployment, distribution, or commercial use.
7. File Retention and Storage
Uploaded files and generated outputs may be stored temporarily to facilitate processing, downloads, previews, troubleshooting, and system operations. XtoSCORM is not intended to function as a permanent file storage or backup service.
Files may be automatically deleted at any time after processing or after a retention period determined solely by XtoSCORM. We do not guarantee file availability, recoverability, or long-term retention.
You are solely responsible for maintaining backups of all Uploaded Content and generated outputs.
8. Acceptable Use
You agree not to use the Service in any unlawful, abusive, harmful, fraudulent, or unauthorized manner.
You must not upload, process, distribute, or transmit content that infringes intellectual property rights, violates privacy laws, contains malicious software, promotes illegal activities, or otherwise violates applicable laws or regulations.
You must not attempt to interfere with the integrity, security, availability, or performance of the Service. This includes excessive automated requests, scraping, reverse engineering, denial-of-service behavior, bypassing restrictions, exploiting vulnerabilities, or unauthorized access attempts.
We reserve the right to investigate suspected misuse and to suspend or terminate accounts, restrict access, remove content, or cooperate with legal authorities where necessary.
9. Intellectual Property Rights
The Service, including its software, interfaces, designs, branding, APIs, conversion systems, website content, workflows, and underlying technology, is owned by XtoSCORM or its licensors and is protected by intellectual property laws.
Except as expressly permitted by these Terms, you may not reproduce, distribute, modify, reverse engineer, resell, sublicense, copy, or commercially exploit any portion of the Service without prior written consent.
10. Third-Party Services and Dependencies
The Service may rely on third-party infrastructure providers, cloud services, payment processors, AI systems, analytics providers, content delivery networks, hosting vendors, or external APIs.
We are not responsible for outages, delays, interruptions, data loss, security incidents, billing issues, or operational failures caused by third-party services or dependencies outside our reasonable control.
11. Availability and Service Limitations
The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express or implied.
We do not guarantee uninterrupted availability, continuous uptime, specific conversion speeds, permanent access to any feature, or error-free operation. Maintenance, upgrades, outages, security incidents, infrastructure failures, or capacity limitations may affect availability or performance.
We reserve the right to impose limits on file size, storage duration, processing volume, conversion frequency, concurrency, API access, bandwidth usage, or other operational parameters at our discretion.
12. Privacy
Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection, processing, storage, and use of information as described in the Privacy Policy.
13. Copyright and Legal Complaints
If you believe that any content processed or hosted through the Service infringes your intellectual property rights or violates applicable laws, you may contact us with sufficient details and supporting documentation.
We reserve the right to remove content, suspend accounts, restrict access, or take other actions where we reasonably believe violations may exist.
14. Suspension and Termination
We may suspend, restrict, or terminate your access to the Service at any time, with or without notice, if we reasonably believe that you have violated these Terms, abused the platform, failed to make required payments, created operational or legal risk, or engaged in fraudulent or unlawful activity.
Termination may result in permanent deletion of files, outputs, credits, account data, and related information. We are not obligated to retain or recover deleted data after termination.
15. Disclaimers
To the maximum extent permitted by law, XtoSCORM disclaims all warranties, representations, and guarantees, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, availability, compatibility, accuracy, or reliability.
We do not guarantee that generated SCORM packages will function identically across all LMS platforms, browsers, devices, or environments.
16. Limitation of Liability
To the fullest extent permitted by applicable law, XtoSCORM and its affiliates, officers, employees, contractors, licensors, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, business interruption, loss of data, reputational harm, or loss of goodwill arising from or related to the Service.
Our total aggregate liability arising out of or related to the Service shall not exceed the total amount paid by you to XtoSCORM during the three (3) months preceding the event giving rise to the claim.
17. Indemnification
You agree to indemnify, defend, and hold harmless XtoSCORM and its affiliates, officers, employees, contractors, and partners from and against any claims, liabilities, damages, losses, costs, and expenses arising from your Uploaded Content, your use of the Service, your violation of these Terms, or your violation of applicable laws or third-party rights.
18. Governing Law and Jurisdiction
These Terms shall be governed by and interpreted in accordance with the laws of India, without regard to conflict of law principles.
Any disputes arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan, India.
19. Changes to These Terms
We may revise or update these Terms at any time. Updated versions become effective upon posting on the website or Service.
Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
